ProxyStacks Relay
Terms of Service
These terms govern your access to ProxyStacks Relay, including the website, dashboard, multi-model API gateway, subscriptions, credit packs, and related services.

1. The service
ProxyStacks Relay (“Relay”, “we”, “us”, or “our”) is an independent multi-model AI API gateway operated by an individual developer. Relay provides OpenAI-compatible and related API surfaces, prepaid service credits for metered usage, API key management, usage records, rate limits, and developer workflow tools.
Relay routes approved inference workloads through backend capacity that we procure from paid commercial cloud and AI API channels available to individual developers (including, without limitation, services such as Qiniu Cloud, commercial API routing platforms, and Tencent Cloud TokenHub-related channels). Relay is not affiliated with, endorsed by, sponsored by, owned by, or operated by OpenAI, Anthropic, Google, Tencent Cloud, or any other foundation model vendor unless such relationship is separately established in writing.
Unless separately stated in a written agreement, Relay is not an official reseller, distributor, agent, or authorized representative of any upstream model vendor.
Customers purchase access to Relay's gateway software and service credits used for metering token usage within Relay. Customers do not receive upstream provider accounts, upstream API keys, official reseller rights, sublicensing rights, or any right to represent themselves as customers, partners, or authorized users of an upstream vendor through Relay.
2. Accounts and eligibility
- You must be legally able to enter into a binding agreement and provide accurate account information.
- You are responsible for activity under your account and for keeping API keys and login access secure.
- You must promptly revoke a key and contact us if you believe your account or a key has been compromised.
- You may not share, resell, or transfer your account or Relay API access unless we have agreed to it in writing.
3. Subscriptions, credits, and usage charges
Paid plans are recurring monthly (or yearly, where offered) subscriptions. Each successful purchase or renewal adds the stated amount of service credits to your Relay balance. Optional one-time credit packs also add credits. API calls deduct credits according to the published model rates and the measured token usage for each request.
- Prices are shown in US dollars unless checkout says otherwise.
- Unused credits roll over while your account remains available; credits have no cash value and cannot be transferred.
- Credits are digital service credits for use within Relay only. They are not stored value, currency, gift cards, or financial instruments.
- Consumed credits are generally non-refundable except where required by law or expressly stated in our Refund Policy.
- We may delay, limit, or refuse high-risk usage where needed to prevent abuse, unpaid provider costs, fraud, or chargeback exposure.
- Requests pause when your available balance is insufficient for the estimated cost of a call.
- Model availability and token rates can change. Current rates are shown on the pricing page or in the product before use.
4. Backend model capacity
Relay may route AI workload requests to cloud model and API services that are lawfully available to us through paid accounts or commercial usage channels. Provider availability, supported models, model names, features, pricing, rate limits, safety filters, regional availability, and technical behavior may change without notice.
Use of Relay does not create a direct contractual relationship between you and any upstream provider. You must not use Relay to bypass an upstream provider's terms, safety systems, geographic restrictions, content moderation, access controls, account requirements, or rate limits.
We may suspend, remove, restrict, or replace any provider, model, route, feature, account, key, or workload where required by provider requirements, law, security concerns, abuse prevention, payment risk, or operational risk.
5. Payment and merchant of record
Payments are processed by Waffo Pancake (Waffo), which acts as merchant of record and contractual seller for purchases completed through its checkout. Waffo handles payment processing, applicable indirect taxes, invoices, and payment-related customer services under its buyer and platform terms.
ProxyStacks remains responsible for providing Relay, product support, and resolving product or delivery issues. The descriptor on your payment statement or receipt may reference Waffo.
6. Renewal and cancellation
Subscriptions renew automatically at the end of each billing period until canceled. You can cancel from Dashboard → Settings → Cancel subscription. Cancellation stops future renewals and normally takes effect at the end of the current paid period. Billing questions: [email protected] with your Waffo order or invoice number.
7. Acceptable use
You must follow our Acceptable Use Policy. We may suspend or terminate access for violations that harm Relay, an upstream provider, or another user.
8. Service level and support
Relay is provided on a commercially reasonable efforts basis. We do not guarantee uninterrupted availability, fixed latency, or permanent availability of any specific model route. Product support is available at [email protected].
9. Data and privacy
Our Privacy Policy explains how we process account information, API request data, service logs, and payment references.
10. Intellectual property
Relay, its website, and its software are owned by ProxyStacks or its licensors. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use Relay for your own lawful applications.
11. Suspension and termination
We may suspend or terminate accounts that create payment risk, abuse the service, violate these terms or the Acceptable Use Policy, threaten the service or third parties, fail to pay, or require action under law or provider requirements. Where practical, we will notify you.
12. Disclaimers and limitation of liability
Relay is provided “as is” to the fullest extent permitted by law. We are not liable for upstream provider outages, model quality, or outputs. Nothing in these terms excludes liability or consumer rights that cannot legally be excluded.
13. Changes
We may update these terms as the service or legal requirements change. We will post the updated version and change the effective date. Continued use after the effective date constitutes acceptance of the updated terms where permitted by law. Material payment terms may also be reflected in Waffo checkout disclosures.
